I structure engagements to reflect the scope of each disclosure. Proxy statements and shareholder proposal responses are short documents, but they carry disproportionate influence with institutional investors and other key stakeholders.
My role is not to replace legal counsel for ESG, EHS and DEI proposals. It is to refine the language in management’s statement in opposition where legal reasoning and investor interpretation intersect.
Shareholder Proposal Response Refinement (Rule 14a-8) - $3,500 - $5,000
This engagement includes detailed review and revision of management’s language to ensure

Quarterly Proxy Advisory Engagement - $15,000 to $25,000 per quarter
This structure provides:
Hourly Advisory - $250 to $400 per hour
Advisory work may be structured hourly. This format is typically reserved for executive consultation or discrete review requests.
